These terms govern use of ERP Star, business software provided by MSNW Group, LLC (“we”, “us”). By signing in you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company (“the Customer”).
ERP Star is software for facility services operations: timekeeping, payroll preparation, job costing, scheduling, invoicing, purchasing and financial reporting. We provide it as a hosted service.
We grant the Customer a limited, non-exclusive, non-transferable, revocable right to use ERP Star for its own internal business purposes for as long as its account is in good standing. We retain all rights in the software itself.

The Customer owns its data. We use it to run the service for that Customer, and for nothing else. We do not sell it. On termination, the Customer may request an export, and we will delete the data on request except where law requires us to keep it. Our handling of personal information is described in the Privacy Policy.
ERP Star can connect to third-party systems including Intuit QuickBooks Online, Aspire, Paylocity and Fleetio. Those connections are made at the Customer’s direction and using the Customer’s own credentials. Each of those services is governed by its own agreement with the Customer, and we are not responsible for their availability, accuracy or acts. The Customer may disconnect any of them at any time.
We aim to keep ERP Star available and to give notice before planned maintenance, but we do not commit to a specific uptime figure and the service may be unavailable at times.
ERP Star assists with preparing payroll, invoices and financial reports. It is not a substitute for professional advice, and it does not file anything on the Customer’s behalf. The Customer remains responsible for the accuracy of what it files and pays, and for reviewing the figures before relying on them.
ERP Star is provided “as is”. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost data. Our total liability arising out of or relating to these terms is limited to the amount the Customer paid us for the service in the twelve months before the claim arose.
Either party may terminate on written notice. We may suspend access immediately where use threatens the security or integrity of the service or breaches section 4. Sections 5, 9, 10 and 12 survive termination.
These terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. The state and federal courts located in Whatcom County, Washington have exclusive jurisdiction.
We may update these terms. If a change is material we will update the date at the top and notify account administrators. Continued use after that constitutes acceptance.
